AFFECTO PLC STOCK EXCHANGE RELEASE 29 SEPTEMBER 2008 at 10:15 SALE OF CONTEMPUS TO BASWARE HAS BEEN CLOSED Affecto Plc announced on 5 September 2008 that it will sell Contempus AS to Basware. The transaction has been closed today on 29 September 2008. The final transaction price, paid in cash, was 83.6 MNOK (approx. 10.1 MEUR). Affecto estimates that the sale will not generate capital gain or loss, however the exact outcome will be known only after the September figures have been prepared for Q3 interim report. Contempus was part of Component Software Group ASA, which Affecto acquired in 2007. In 2007, Contempus generated revenue of 69.3 MNOK (approx. 8.4 MEUR) and EBITA of 6.8 MNOK (approx. 0.82 MEUR) 2007. As at 30 June 2008, Contempus had 55 employees and a net cash position of approx. 17 MNOK (approx. 2.1 MEUR). In Affecto's reporting, Contempus has been reported in the Operational Solutions and Norway&Denmark segments. Closing the transaction already in September means that net sales of Contempus in fourth quarter (approx. 3 MEUR) and the corresponding profit will not be included in Affecto's income statement.
