Grasbrunn near Munich, Oct. 8th. 2008: In August 2008 the Supervisory Board
of Wirecard AG, in coordination with the Management Board of the company,
commissioned the auditing firm Ernst & Young to conduct a special
inspection on key items of the 2007 Annual Report in accordance with § 111
(2) clause 2 of AktG. Ernst & Young submitted its findings of the special
inspection to the Supervisory Board and Management Board of Wirecard AG
today.
The key issues dealt with and inspected in accordance with the IFRS
regu-lations comprised the presentation of the cash flow statement, the
statement regarding the risk management (referring to business activities
arising from the processing of Internet-based payments), compliance with
the requirements relating to segment reporting and an appropriate
evaluation of such items as 'goodwill' and 'other intangible assets'
(customer portfolio, enterprise values/goodwill), with special
consideration being devoted to the acquisition of TrustPay International AG
including its subsidiaries in 2007.
Certain issues were addressed which are not material concerning validity,
content and correctness of the groups financial statements and management
report for 2007. As a whole, no indications of any misleading statements in
the groups financial statements and management report for 2007 are given.
