SolarWorld AG starts share repurchase programme
Bonn, 08.10.2008 Today the Board of Directors of SolarWorld AG decided to
make use of the authorization granted by the annual shareholders meeting on
May 21st 2008 concerning the repurchase of company shares according to § 71
Abs. (1) Nr. 8 of the German Stock Companies Act (AktG) in the amount of up
to 10% of the companies capital stock. The shares may be used for all
purposes mentioned in the shareholders authorization. The authorization
which also includes the withdrawal of shares is limited to the end of
November 21st 2009. The acquisition shall be effected via stock exchange or
via public offer addressed to all shareholders; the acquisition price per
share to be paid by the company shall, excluding costs and fees, in no way
exceed the highest market price assessed on the acquisition day in the
floor trade and computer trade sector of the Frankfurt stock exchange. The
price shall in no way be more than 15% below said market price. In case of
a public acquisition offer, the offered and paid acquisition price per
share shall be maximum 15% above the highest market price value on the 3rd
trading day before publishing the acquisition offer.
The repurchase of maximum 10% of the shares shall start on October 8th 2008
in order to take advantage of the current market price level.
