Lithuanian Securities Commission submited information regarding Linas AB


On 20 October 2008, the Supreme Administrative Court of Lithuania rejected the
appeal of Lionė Lenčiauskienė and ruled the 20 December 2007 decision of the
Vilnius Regional Administrative Court to be in effect whereby the following
decisions of the Lithuanian Securities Commission (LSC) were recognised as
legitimate and reasonable: 
 
Decision of the LSC of 31 May 2007 of the LSC „Concerning the approval of the
circular of the take-over bid“ whereby the LSC refused to approve the circular
of the mandatory non-competitive take-over bid to purchase the outstanding 
registered ordinary shares of Linas AB, at the same time noting the continued
obligation in respect of Lionė Lenčiauskienė to submit and to implement the
mandatory take-over bid, however, to be submitted on the terms different from
those proposed by Lionė Lenčiauskienė, having regard to the findings and
conclusions of the completed inspection. 
 
Decision of the LSC of 31 May 2007 “Concerning the completed for-cause
inspection” approving the following findings of the inspection: 
 
-         Lionė Lenčiauskienė is not a person acting independently;
-         the obligation to submit and implement the mandatory take-over bid in
respect of Lionė Lenčiauskienė and other persons acting in concert arose on 11
July 2006 after the threshold of 40 percent of votes in the general meeting of
shareholders of the company provided for in the Law on Securities was exceeded.
