Schmack Biogas announces rights issue
Schwandorf, December 7, 2008. The Management Board of Schmack Biogas AG
today decided, with the consent of the Supervisory Board, to increase the
companys share capital by up to EUR 2,988,432.00 from EUR 5,976,864.00 to
up to EUR 8,965,296.00. The capital increase is to be effected by issuing
new shares against contributions in cash under the authorised capital
structure already in place. The companys shareholders will be offered
2,988,432 no-par value ordinary registered shares during the period from
December 10 to 29, 2008. The shares will be issued on a one-for-two basis,
meaning that ownership of two existing shares entitles a shareholder to the
purchase of one new share. The subscription price has been set at EUR 3.07
per new share. The detailed offering is to be published on December 10,
2008. The capital increase will strengthen Schmack Biogas AGs
capitalisation and secure the funds required to finance the expected
follow-up contracts for the construction of gas feed-in plants from energy
companies.
Several investors as well as all Management Board members have committed
themselves to acquiring at the subscription price up to 1.872.964 new
shares not taken up by other shareholders. This means that the completion
of the capital increase in an amount of at least EUR 5,750,000.00 is
ensured.
The new shares are entitled to a share in profits as of January 1, 2008.
The rights cannot be traded on the stock exchange. The new shares will not
be admitted to trading in the regulated market, meaning that no stock
market activity will be taking place in the new shares for the time being.
Schmack Biogas intends to have the new shares admitted to trading by June
30, 2009 at the latest. This approval is conditional on the preparation and
official clearance of a securities prospectus complying with the German
Securities Prospectus Act.
