CHANGES TO PROHA BOARD COMPOSITION

Birger Flaa, Svein Stavelin and Jon Erling Tenvik have announced their
resignation from the Proha board of directors as of 31 December 2008. They will
continue to serve the Proha Group as the board members of Dovre. 

The resignations are a logical continuation to Proha's strategy, which was
revised in spring 2008, and the ensuing restructuring activities. The execution
of the new structure has taken place faster than expected. Presently the parent
company only exercises a controlling role as most of the business decisions are
carried out in the independently operating subsidiaries. 

Bearing in mind that execution of the restructuring has progressed faster than
expected, the Proha board sees that having as much as six members would be
unnecessary. 

At the same time the company strengthens the board of Dovre International AS,
which is the Norwegian parent company of Proha's largest division, Dovre.  The
company has invited Norwegian Gro Kielland (49) to join Dovre's board of
directors. Mrs. Kielland currently operates i.a. as the chairman of BP Norway's
board of directors. Gro Kielland will also become the first female member of
Dovre's board. 

Other members continuing in Dovre's board are Ilari Koskelo, Birger Flaa, Svein
Stavelin and Jon Erling Tenvik, as well as Arne Narvestad as the employees'
representative. Dovre's new board of directors will become effective in 1
January, 2009. 

In addition, Dovre International AS has decided to change its name to Dovre
Group AS. The new name will better reflect the company's position as the parent
company of the Dovre division. Dovre's founder, Mr. Birger Flaa has given up
his rights to the name, Dovregruppen, for the benefit of the company. Mr.
Flaa's controlled company Dovregruppen AS, which is the second largest
shareholder of Proha Plc with a 10.59% share of ownership, will take a new name
during the process.
