Maastricht, December 17, 2008 – Navigator Equity Solutions N.V. announces
that the Management Board with approval of the Supervisory Boards intends
to change the corporate form of the company to a European Public Limited
Company (Societas Europaea, SE). The planned conversion of the corporate
form shall reflect the broadened strategic positioning as a financial
services company with an international clientele and is subject to a
respective resolution of a General Meeting of shareholders of the company.

Being free to choose between a dualistic leadership structure,
characterised by a Management Board with operating responsibilities and a
monitoring Supervisory Board, and a monistic management structure based on
the Anglo-Saxon model, the company will keep its dualistic system of
separated Management and Supervisory Boards also in the future. The
conversion of the company’s legal form does not lead to any personnel
changes in the company.
