In an ad-hoc release dated November 14, 2008, A.S. Création Tapeten AG,
Europe’s leading wallpaper manufacturer, already announced the planned
takeover of two French wallpaper wholesalers.

With effect from today, A.S. Création (France) S.A.S., Lyon/France, has
acquired 75% of the shares in
SCE - Société de conception et d’édition S.A., Boves/France and 70% of the
shares in MCF Investissements S.A., Ballancourt sur Essonne/France.
Acquisition of the remaining shares has been agreed for the year 2011. The
takeover agreement was signed in Neuilly sur Seine/France today.
Consolidated sales of roughly EUR 43 million in 2007 make SCE and MCF the
leading French wallpaper wholesalers. Between them, both companies employ
about 90 people.

France is the largest wallpaper market in Western Europe. A.S. Création is
convinced that the customer structures of A.S. Création, SCE and MCF
ideally complement each other. This means that the takeover will clearly
strengthen A.S. Création’s market position in France, while SCE and MCF
will have access to the broad product range of A.S. Création. The companies
will retain their own brand identities after the takeover.

The shares in SCE and MCF were acquired at a price of EUR 15.7 million. A
formula based on SCE’s and MCF’s operating results in 2008, 2009 and 2010
has been defined for the valuation of the remaining shares. From today’s
point of view, the price to be paid for the remaining shares in 2011 will
amount to between
EUR 5 and 7 million. 

The Managing Board believes that this investment is an important step to
ensure a continued positive performance for A.S. Création.
