Commerzbank: Dresdner Bank takeover closed 

Following the acquisition of Dresdner Bank by Commerzbank Allianz receives
approximately 163.5 million shares in Commerzbank resulting from a capital
increase in kind. The capital increase decided upon already in August 2008
has been registered with the Commercial Register (Handelsregister) today.
Consequently, Commerzbank became the sole shareholder of Dresdner Bank. The
Federal Cartel Office (Bundeskartellamt) had already agreed to the
acquisition in December, 2008.

On November 27, 2008 the Board of Managing Directors of Commerzbank had
agreed with Allianz to accelerate the full takeover of Dresdner Bank.
According to the initial agreement Commerzbank assumed that the complete
takeover will not be conluded until the second half of 2009. In spring
Dresdner Bank is expected to be merged into Commerzbank. Bank
identification numbers and the account numbers of the customers do not
change by the execution of the takeover and the merger.
