AS Eesti Ehitus wholly-owned subsidiary AS Linnaehitus and AS Arealis signed a share purchase agreement at 26 March 2009 by which AS Linnaehitus acquired from AS Arealis its participation in OÜ Unigate. The nominal value of share capital purchased of OÜ Unigate is 40,000 kroons (approximately 2,556 euros), i.e. 50 per cent of total shareholding. The title of ownership was passed at closing of agreement. OÜ Unigate is a company registered in Estonia that is operating in residential real estate development. The company's activities are related to developing land plots that it has ownership over. These land plots are situated in Tallinn, Paekalda Street. Participation in OÜ Unigate was acquired in connection with the Group's strategy. As per strategy, the Group is in years 2009-2010 preparing itself for the possible rise in Estonian real estate market after year 2010. Therefore the Group creates a land plot portfolio in its subsidiaries to timely begin residential real estate development as the market sentiment turns. The transaction is with a related party. AS Arealis is AS Eesti Ehitus majority shareholder's AS Nordic Contractors subsidiary. As per agreement the fixed price for the shareholding is 20,000,000 kroons (1,278,233 euros) and the contingent part of price is tied to the results of developing process. Combined the fixed and contingent price at the time of closing are comparable with the fair value of land plots of OÜ Unigate that AS Linnaehitus is proportionately entitled to. As per independent valuator the fair value is approximately 47,500,000 kroons (3,035,803 euros). The transaction does not have material economical effect on the activities of Eesti Ehitus Group and does not qualify as an acquisition of significant holding within the meaning of “Requirements for Issuers” of the NASDAQ OMX Tallinn Stock Exchange regulations. The members of the supervisory board and management board of AS Eesti Ehitus do not have any other personal interests in the incorporation of the company.
