TeliaSonera's Annual General Meeting, April 1, 2009

Today's Annual General Meeting of TeliaSonera AB (publ) approved the income
statement and balance sheet for 2008.

The AGM decided upon a dividend to shareholders of SEK 1.80 per share, and
April 6, 2009 was decided as the record date for the dividend. With this record
date, it
is estimated that the dividend will be sent out from Euroclear Sweden (formerly
VPC) on April 9, 2009.

The AGM discharged the Board of Directors and the CEOs from liability for the
financial year 2008.

Ordinary members of Maija-Liisa Friman, Conny Karlsson, Lars G Nordström, Timo
Peltola, Jon Risfelt, Caroline Sundewall and Tom von Weymarn were re-elected.
Lars Renström was elected as a new ordinary member. Tom von Weymarn was
re-elected as Chairman of the Board.

The following Board remuneration was approved for the Board of Directors: to the
Chairman, SEK 1,000,000 and to the other board members, elected by the AGM, SEK
425,000 each. In addition, remuneration to the Chairman of the Board's Audit
Committee of SEK 150,000 and of SEK 100,000 to each of the other members of the
Audit Committee, and remuneration to the Chairman of the Board's Remuneration
Committee with SEK 40,000 and of SEK 20,000 to each of the other members of the
Remuneration Committee, were approved. All remuneration figures are the same as
for previous period.

It was decided that Viktoria Aastrup (Swedish state), Kari Järvinen (Finnish
state via Solidium Oy), KG Lindvall (Swedbank Robur funds), Lennart Ribohn (SEB
funds) together with Tom von Weymarn (Chairman of the Board of Directors) were
elected to the Nomination Committee.

The AGM decided to approve the proposal, presented by the Swedish state at the
AGM, which in comparison with the board's proposal regarding Guidelines for
remuneration of the executive management does not include any component for
variable salary.

The AGM decided to change the Articles of Association regarding announcement of
notice and time limits for notice, respectively.



In order to provide the Board of Directors with an instrument to adapt and
improve the company's capital structure and thereby create added value for the
shareholders, the Annual General Meeting authorised the Board of Directors to
carry out acquisitions of own shares at one or more occasions prior to the
Annual General Meeting 2010 on Nasdaq OMX Stockholm and/or Nasdaq OMX Helsinki
or in accordance with an offer to acquire shares directed to all shareholders,
whereby a maximum of 10 percent of all shares in the company may be acquired.
Purchases on Nasdaq OMX Stockholm and/or Nasdaq OMX Helsinki may only be made at
a price within the spread between the highest bid price and lowest ask price
prevailing from time to time. Acquisitions of shares by way of an offer to
acquire shares may be made at an acquisition price which exceeds the prevailing
market price. It is the intention of the Board of Directors to propose to the
Annual General Meeting 2010 to cancel acquired shares through a reduction of the
company's share capital without repayment to the shareholders.
