Drillisch AG: Voluntary public takeover offer to the shareholders of
eteleon e solutions AG

The mobile telephone service provider Drillisch acquired a majority share
in eteleon e-solutions AG, Munich, on 27 February 2009. In this context and
as part of a voluntary public takeover offer, the company's shareholders
were offered the opportunity, during the period from 5 March 2009 to 2
April 2009 inclusive, to exchange their ordinary non-par-value bearer
shares (ISIN DE 000A0JNF60) for shares in Drillisch AG at a ratio of 1 to
1.

When this period expired on 2 April 2009, a total of 168,592 shares in
eteleon e-solutions AG ('eteleon shares') had been submitted for exchange
under the terms of the takeover offer. This corresponds to 29.88% of the
shares in eteleon e-solutions AG which were still held by diverse
shareholders at the time the company was taken over by Drillisch AG.

The total number of eteleon shares submitted for exchange during the above
period, plus the 1,410,733 eteleon shares already held by Drillisch AG
prior to the takeover offer, results in a grand total of 1,579,325 eteleon
shares. This corresponds to 79.97% of the share capital of eteleon
e-solutions AG.
