Explanation for publication:

Under the securities lending agreement, shares of ESTAVIS AG shall be
transferred to the borrower in the amount specified. The borrower shall
obtain ownership of the shares and shall be entitled to resell the shares
obtained, either in part or in full. The borrower shall have the option of
returning the securities on maturity or at an earlier date, either entirely
or partially in shares or in cash. If the borrower opts to deliver shares,
it must provide the lender with shares of the same type and amount. If the
borrower instead opts for redemption in cash, it must pay the lender EUR
3.00 for each loaned security; this amount shall be adjusted
proportionately in the event of a change in the total share capital. As
compensation for the securities loan, the lender shall receive remuneration
of 1% p.a. on the outstanding loan volume based on an amount of EUR 3.00
for each loaned security; this amount shall be adjusted proportionately in
the event of a change in the total share capital.
