CeWe Color Holding AG: Share Repurchase Programme
Oldenburg, 22 April 2009. The Board of Management of CeWe Color Holding AG
(ISIN DE 0005403901) resolved on 9 March 2009 that it would be acquiring
own company shares in accordance with § 71 Paragraph 1 No. 2 of the German
Companies Act (AktG) for the issue of employee shares scheduled for the end
of April 2009 from 7 April 2009. The share repurchase is being conducted in
accordance with the safe harbour regulations pertaining to § 20a Paragraph
3 of the WpHG (German Securities Trading Act) read in conjunction with (EG)
Directive No. 2273/2003 of the Commission dated 22 December 2003.
For the duration of this repurchase of own company shares exclusively for
the purpose of issuing employee shares, the current repurchase of own
company shares, operated since 16 June 2008 on the basis of authorisation
given at the Annual General Meeting of 28 May 2008 and on the basis of a
board of management resolution of 12 June 2008, has been suspended.
