Ekspress Group to sell Ekspress Hotline Group


AS Ekspress Group signed a contract today for the sale of AS Ekspress Hotline
Group to Cheh OÜ. Cheh OÜ is a holding company that belongs to the investment
fund BaltCap. 

The transaction price is ca. EUR 6 million as of the transaction date. The
transaction price will be finalised during the completion of the transaction
and will depend on the cash balance at the time of completing the transaction.
Of the transaction price, EUR 2 million will be paid in 5 years; the buyer will
pay 8% interest per annum on this amount. During these 5 years, Ekspress Group
is entitled to convert the total amount of the receivable into the shares of
the Pan-Baltic company to be formed after combining the operations of SIA
Contact Holding and Ekspress Hotline. 

AS Ekspress Hotline Group also comprises AS Kõnekeskus, Ekspresskataloogide AS
and AS Infoatlas. 

The prerequisite for the transaction becoming effective is the permission by
the Estonian Competition Authority authorising the concentration. 

The 2008 unaudited revenue of Ekspress Hotline Group was EUR 4 515 997 and the
unaudited EBITDA was EUR 522 054. As of 31.12.2008, the unaudited balance sheet
total of Ekspress Hotline Group was EUR 3 976 058.
