Under the SEC's Notice and Access rule, companies may satisfy their proxy materials delivery requirements by delivering a "Notice of Internet Availability of Proxy Materials" to shareholders, providing Internet access to the proxy materials, and providing a printed set of proxy materials by mail to any shareholder who requests them. Beginning June 19, 2009, 8x8 will mail its beneficial shareholders of record, as of June 2, 2009, a Notice of Internet Availability of Proxy Materials containing instructions on how to access the Company's proxy materials over the Internet and how to vote electronically over the Internet, by telephone, or in person at the Annual Meeting.
