The General Meeting of Reality Capital Partners AG resolved on August 20,
2008 among other things that the registered capital in the amount of EUR
5,100,000 shall be increased by up to EUR 10,200,000 to a new registered
capital in the amount of up to EUR 15,300,000. The responsible registration
court at the county court (Amtsgericht) of Frankfurt am Main entered the
capital increase in the amount of EUR 5,100,760 into the commercial
register of Reality Capital Partners AG on July 28, 2009. Henceforth, the
registered share capital of Reality Capital Partners AG amounts to EUR
10,200,760.

The capital increase was conducted as an increase in capital for cash and
in kind. Through means of an increase of capital in kind the registered
capital of Reality Capital Partners AG was increased in the amount of EUR
5,100,000 by contribution of 532,009 shares without par value in Cybits AG,
Mainz, issued with a subscription amount of EUR 1,10 per share. Reality
Capital Partners AG now holds 100 % of the shares in Cybits AG. The
residual amount of the capital increase was contributed in cash. The new
shares are entitled to a share in profits as of January 1, 2008.
