Yavne, Israel - February 5, 2010 - Notice is hereby given that on February
4th 2010, notice was submitted to the District Court in Tel-Aviv-Jaffa,
Israel concerning the results of the voting at the shareholders meeting of
Valor Computerized Systems [Prime Standard: VCR, WKN 928731] dated February
3, 2010 and a petition to hold a hearing on the fairness of the merger
agreement between Valor and VR Acquisition Ltd. (a company formed under the
laws of the State of Israel and a wholly owned subsidiary of Mentor
Graphics (Netherlands) BV, a corporation formed under the laws of the
Netherlands which is a wholly owned subsidiary of Mentor Graphics
Corporation, an Oregon, U.S.A. corporation), and regarding the approval of
the merger agreement and the distribution/reduction of capital in the
framework of such merger (hereinafter: the 'Petition').
In accordance with the Court's decision, the Petition is to be heard on 16
February 2010, at 13:00 hours (Israel time), before Hon. Judge Danya
Keret-Meir, in the District Court in Tel-Aviv-Jaffa, Israel.
a person who wishes to oppose the Petition and/or express his position in
relation thereto, shall submit his opposition/position to the Court by no
later than 5 days before the date of the hearing and shall be allowed to
appear at the time of the hearing, in person or by means of his attorney.
In the event of the Court approving the Merger Agreement, the Court's
approval shall constitute a basis for exemption from the 'registration'
requirement in the U.S., of the issuance of shares in Mentor Graphics
Corporation, to the shareholders of Valor.
