8, 85254 Sulzemoos, Germany, on 12 February 2010 about a notification of
voting rights according to sections 21 (1), 22 (1) sent. 1 no. 1 and no. 6,
sent. 2 and 3 German Securities Trading Act (WpHG) for the announcing
entities Aviva Investors Global Services Limited, London, UK, Aviva
Investors Holdings Limited, London, UK, Aviva Group Holdings Limited,
London, UK and Aviva Plc, London, UK.
In the name and on behalf of the entities referred to below, we hereby
notify you of the following:
1. Aviva Investors Global Services Limited
On February 8, 2010, the stake of Aviva Investors Global Services Limited,
London, United Kingdom, in the voting rights in Phoenix Solar
Aktiengesellschaft, HirschbergstraÃe 8, 85254 Sulzemoos, fell below the
threshold of 5 %. On that date, Aviva Investors Global Services Limited
held 4.71 % in relation to all voting rights in Phoenix Solar
Aktiengesellschaft (voting rights arising from 315,734 ordinary shares
(Stammaktien); Phoenix Solar Aktiengesellschaft has issued ordinary shares
only).
All such voting rights were attributed to Aviva Investors Global Services
Limited pursuant to section 22 (1) sent. 1 no. 6 WpHG. Of such attributed
voting rights, 3.41 % arose from 228,688 ordinary shares (Stammaktien) held
by Aviva Life & Pensions UK Limited.
2. Aviva Investors Holdings Limited
On February 8, 2010, the stake of Aviva Investors Holdings Limited, London,
United Kingdom, in the voting rights in Phoenix Solar Aktiengesellschaft,
HirschbergstraÃe 8, 85254 Sulzemoos, fell below the threshold of 5 %. On
that date, Aviva Investors Holdings Limited held 4.71 % in relation to all
voting rights in Phoenix Solar Aktiengesellschaft (voting rights arising
from 315,734 ordinary shares (Stammaktien); Phoenix Solar
Aktiengesellschaft has issued ordinary shares only).
All such voting rights were attributed to Aviva Investors Holdings Limited
pursuant to section 22 (1) sent. 1 no. 6 in connection with sent. 2 and 3
WpHG. Of such voting rights, 0.38 % (voting rights arising from 25,724
ordinary shares (Stammaktien)) were attributed to Aviva Investors Holdings
Limited also pursuant to section 22 (1) sent. 1 no. 1 WpHG.
Of the voting rights attributed pursuant to section 22 (1) sent 1 no. 6 in
connection with sent. 2 and 3 WpHG, 3.41 % (voting rights arising from
228,688 ordinary shares (Stammaktien)) were voting rights arising from
shares held by Aviva Life & Pensions UK Limited.
3. Aviva Group Holdings Limited
On February 8, 2010, the stake of Aviva Group Holdings Limited, London,
United Kingdom, in the voting rights in Phoenix Solar Aktiengesellschaft,
HirschbergstraÃe 8, 85254 Sulzemoos, fell below the threshold of 5 %. On
that date, Aviva Group Holdings Limited held 4.90 % in relation to all
voting rights in Phoenix Solar Aktiengesellschaft (voting rights arising
from 328,434 ordinary shares (Stammaktien); Phoenix Solar
Aktiengesellschaft has issued ordinary shares only).
All such voting rights were attributed to Aviva Group Holdings Limited
pursuant to section 22 (1) sent. 1 no. 6 in connection with sent. 2 and 3
WpHG. Of such voting rights, 4.16 % (voting rights arising from 278,425
ordinary shares (Stammaktien)) were attributed to Aviva Group Holdings
Limited also pursuant to section 22 (1) sent. 1 no. 1 WpHG.
Of the voting rights attributed pursuant to section 22 (1) sent. 1 no. 6 in
connection with sent. 2 and 3 WpHG as well as section 22 (1) sent. 1 no. 1
WpHG, 3.41 % (voting rights arising from 228,688 ordinary shares
(Stammaktien)) were voting rights arising from shares held by Aviva Life &
Pensions UK Limited.
The chain of controlled undertakings through which 3.41 % of the voting
rights are held is: Aviva Life Holdings UK Limited, Aviva Life & Pensions
UK Limited.
4. Aviva Plc.
On February 8, 2010, the stake of Aviva Plc., London, United Kingdom, in
the voting rights in Phoenix Solar Aktiengesellschaft, HirschbergstraÃe 8,
85254 Sulzemoos, fell below the threshold of 5 %. On that date, Aviva Plc.
held 4.90 % in relation to all voting rights in Phoenix Solar
Aktiengesellschaft (voting rights arising from 328,434 ordinary shares
(Stammaktien); Phoenix Solar Aktiengesellschaft has issued ordinary shares
only).
All such voting rights were attributed to Aviva Plc. pursuant to section 22
(1) sent. 1 no. 6 in connection with sent. 2 and 3 WpHG. Of such voting
rights, 4.16 % (voting rights arising from 278,425 ordinary shares
(Stammaktien)) were attributed to Aviva Plc. also pursuant to section 22
(1) sent. 1 no. 1 WpHG.
Of the voting rights attributed pursuant to section 22 (1) sent. 1 no. 6 in
connection with sent. 2 and 3 WpHG as well as section 22 (1) sent. 1 no. 1
WpHG, 3.41 % (voting rights arising from 228,688 ordinary
shares(Stammaktien)) were voting rights arising from shares held by Aviva
Life & Pensions UK Limited.
