Investment company OÜ Griffen SPV and OÜ HHL Rühm concluded an amendment agreement to previously signed Share Purchase Agreement and Griffen SPV will acquire additional shares of AS Ekspress Grupp

On 20 April 2010, OÜ Griffen SPV, an investment company under the control of
Gunnar Kobin, the Chairman of the Management Board of AS Ekspress Grupp, and OÜ
HHL Rühm, an investment company under the control of Hans H. Luik, a Supervisory
Board member of AS Ekspress Grupp, signed an amendment to the Share Purchase
Agreement concluded on 16 November 2009. According to the amendment, the price
for one share of AS Ekspess Grupp is EUR 1. 
In addition, the parties signed a Preliminary Agreement under which OÜ Griffen
SPV will acquire 80 127 shares of AS Ekspress Grupp for EUR 1 per share.
