Proposal by Elcoteq SE's Nomination Committee to the Annual

The Nomination Committee of Elcoteq SE's Board of Directors will propose to the
Annual General Meeting on April 28, 2010, that Elcoteq´s Board of Directors
would consist of seven (7) persons and that the composition would be as follows.

Current Board members President Martti Ahtisaari; Mr. Heikki Horstia, BSc
(Econ.); Mr. Eero Kasanen, Executive Dean, Aalto University School of Economics;
Mr. François Pauly, General Manager of Sal. Oppenheim jr. & Cie S.C.A; and Mr.
Jorma Vanhanen, founder-shareholder of Elcoteq SE, would be re-elected.

The Nomination Committee also proposes, that Mr. Pauli Aalto-Setälä, Managing
Director of Aller Media Oy, and Dr. Sándor Csányi, Chairman and CEO of OTP Bank,
would be elected as new members.

Mr. Aalto-Setälä, born 1966, has a long experience in several positions in the
field of Finnish media and his other key posts include being the Chairman of the
board of Plan Finland and a member of the Board of Savonlinna Opera festivals.

Dr. Sándor Csányi, born 1953, M.Sc. (Econ.), DBA, has held several leading
positions in Hungarian banking sector. Dr. Csányi´s other key posts include
being a member of the Board of Directors of the Advisory Council of the
Hungarian Financial Supervisory Authority and as a member of the Board of
Administration of the World Savings Banks Institute.

President Ahtisaari, Mr. Horstia, Mr. Kasanen, Mr. Pauly, Mr. Aalto-Setälä and
Dr. Csányi are independent Board members, and they represent more than half of
the Board's members. Board members are elected for a one-year period until the
end of the following Annual General Meeting. All the aforesaid individuals have
given their consent to their election.
