us notice on is own behalf and on behalf of such further entities as
mentioned below pursuant to section 21 para. 1 and section 24 German
Securities Trading Act (WpHG) of the Following:
1) The share of Morgan Stanley, Wilmington, Delaware, USA, on April 27th,
2010, has fallen below the threshold of 3% of the voting rights of Borussia
Dortmund GmbH & Co. KGaA, Rheinlanddamm 207-209, 44137 Dortmund, Germany,
and on that day amounted 2,73% (1.677.035 shares/voting rights); whereby
these aforementioned voting rights have to be attributed concurrent
pursuant to section 22 para. 1 sent. 1 No. 1 WpHG from the respective
subsidiaries of the chain of controlled entities and pursuant to section 22
para. 2 WpHG from Morgan Stanley & Co. International Plc (formerly: Morgan
Stanley & Co. International Limited), London, United Kingdom.
2) The share of Morgan Stanley & Co. International Plc (formerly: Morgan
Stanley & Co. International Limited), London, United Kingdom, on April
27th, 2010, has fallen below the threshold of 3% of the voting rights of
Borussia Dortmund GmbH & Co. KGaA, Rheinlanddamm 207-209, 44137 Dortmund,
Germany, and on that day amounted 2,73% (1.677.035 shares/voting rights).
3) The share of the following entities
(i) Morgan Stanley International Holdings Inc., Wilmington, Delaware, USA,
(ii) Morgan Stanley International Limited, London, United Kingdom,
(iii) Morgan Stanley Group (Europe), London, United Kingdom,
on April 27th, 2010, each has fallen below the threshold of 3% of the
voting rights of Borussia Dortmund GmbH & Co. KGaA, Rheinlanddamm 207-209,
44137 Dortmund, Germany, and on that day each amounted 2,73% (1.677.035
shares/voting rights); whereby these aforementioned voting rights each have
to be attributed concurrent pursuant to section 22 para. 1 sent. 1 No. 1
WpHG from the respective subsidiaries of the chain of controlled entities
and pursuant to section 22 para. 2 WpHG from Morgan Stanley & Co.
International Plc (formerly: Morgan Stanley & Co. International Limited),
London, United Kingdom.
4) The share of Morgan Stanley UK Group, London, United Kingdom, on April
27th, 2010, has fallen below the threshold of 3% of the voting rights of
Borussia Dortmund GmbH & Co. KGaA, Rheinlanddamm 207-209, 44137 Dortmund,
Germany, and on that day amounted 2,73% (1.677.035 shares/voting rights);
whereby the aforementioned voting rights have to be attributed pursuant to
section 22 para. 1 sent. 1 No. 1 WpHG from Morgan Stanley & Co.
International Plc (formerly: Morgan Stanley & Co. International Limited),
London, United Kingdom.
5) The share of the following affiliates of Morgan Stanley, Wilmington,
Delaware, USA,
(i) Morgan Stanley Bank International Limited, London, United Kingdom,
(ii) Morgan Stanley Domestic Capital Inc., Wilmington, Delaware, USA,
(iii) Morgan Stanley Capital Management LLC., Wilmington, Delaware, USA,
(iv) Morgan Stanley International Incorporated, Wilmington, Delaware, USA
on April 27th, 2010, each has fallen below the threshold of 3% of the
voting rights of Borussia Dortmund GmbH & Co. KGaA, Rheinlanddamm 207-209,
44137 Dortmund, Germany, and on that day each amounted 2,73% (1.677.035
shares/voting rights); whereby these aforementioned voting rights each have
to be attributed pursuant to section 22 para. 2 WpHG from Morgan Stanley &
Co. International Plc (formerly: Morgan Stanley & Co. International
Limited), London, United Kingdom.
