On May 17th 2010, the subsidiary of AS Premia Foods (PF) Saaremere Kala AS (SMK) acquired 24,286% stake in OÜ GourmetHouse (GH) from Premium Foods OÜ, a company owned by the member of the management board of GH Mr. Indrek Loorens. The transaction was carried out through share swap and the seller received 142 857 PF treasury shares. The transferred shares will be bound with lock-up obligation until May 1st, 2011. The ownership of the shares was transferred to SMK on May 17th, 2010. As the result of the trasaction 100% of GH will be owned by SMK. GH, registry code 11056765, address Betooni 4, Tallinn, is one of the leading sellers of frozen and chilled fish products in Estonia. The revenues of GH in 2009 were 5,97 million EUR. The purpose of the acquisition is optimization of the group structure and extension of the sales of frozen and chilled fish products on Estonian market. PF.
