Capital increase registered
Referring to Announcement No. 12 of 17 May 2010 involving the conversion of a
convertible loan and the resulting resolution for a capital increase of 665,000
shares for a total nominal value of DKK 3,325,000, Netop Solutions hereby
announces that the capital increase has now been registered with the Danish
Commerce and Companies Agency.
The new shares are issued on the terms provided in article 4a of the articles
of association. Accordingly, the subscription price of the new shares will be
DKK 8.54 per share with a nominal value of DKK 5, and the new shares will rank
pari passu with the company's existing shares.
Application will be made as soon as possible to have the new shares admitted
for listing on NASDAQ OMX Copenhagen.
The share capital was DKK 21,045,540 prior to registration of the capital
increase and consisted of 4,209,108 shares each with a nominal value of DKK 5.
After the capital increase, the share capital has a nominal value of DKK
24,370,540, consisting of 4,874,108 each with a nominal value of DKK 5.
In addition, the company's amended articles of association are now made
available.
