Zions Bancorporation Announces Pricing of Public Offering of Warrants to Purchase Common Stock


SALT LAKE CITY, May 19, 2010 (GLOBE NEWSWIRE) -- Zions Bancorporation ("Zions" or the "Company") (Nasdaq:ZION) today announced that the Company has priced a public offering of 21,077,227 warrants to purchase shares of Zions' common stock, at an offering price of $8.3028 per warrant. The aggregate gross proceeds to Zions from the offering are expected to be approximately $175 million. The warrants have an exercise price of $36.63 and an expiration date of May 22, 2020. The warrants are scheduled to begin trading on the Nasdaq Global Select Market on May 20, 2010 under the symbol "ZIONW." The offering is expected to close on May 25, 2010. The underwriters have a 30-day option to purchase up to 1,204,413 additional warrants for aggregate gross proceeds of approximately $10 million to cover over-allotments. 

Goldman, Sachs & Co. and Deutsche Bank Securities Inc. served as joint bookrunning managers and Barclays Capital Inc. served as co-manager for the offering. The Company intends to use the net proceeds from the offering for general corporate purposes. Pending use of the net proceeds of the warrants offering, the Company intends to invest the net proceeds in interest-bearing investment grade securities.

The offering is part of a series of capital actions that the Company previously announced that it intends to complete during the second quarter.
