Gütersloh, 08/03/2010 - syskoplan AG (called 'syskoplan' subsequently)
announces that the domination agreement closed on June 25th, 2010 in
accordance with § 291, para. 1 AktG between Reply S.p.A. (called 'Reply'
subsequently) as the dominating enterprise and syskoplan as the dominated
enterprise (called 'domination agreement' subsequently) has become
effective with the entry into the register of companies of the district
court Gütersloh on August 02nd, 2010.

The annual general meeting of syskoplan AG had agreed to the domination
agreement on May 28th, 2010. No complaints came up during the period
for instituting proceedings, what has led to the entry into the register of
companies.

The remaining minority shareholders now have a compensation claim at the
defined price of EUR 8.19 per share. The details on the execution of the
cash compensation offer will soon be published.
