Agrowill Group AB proposals for bondholders with regard to possibilities to decrease the level of the debt of the Company


Taking into account the rights of creditors as laid down in Article 9(1)(6) 
of the Law on Corporate Restructuring and seeking to reduce the debt of 
the Company as soon as possible and ensure smooth implementation of the 
restructuring process as well as seeking to create equal conditions for 
all bondholders of the Company and other financial investors to have their 
claims against the Company met, the Board of Agrowill Group AB decided to 
propose to the bondholders of the Company the following alternative options 
to meet their claims which will be subsequently included in the 
restructuring plan: 

1. Settlement into Company shares: 
The bondholders of the Company would be offered to exchange the claims (bonds)
held by them to newly issued shares of the Company, thereby allowing the
Company to meet its liabilities. 

In this case, the general meeting would adopt a decision to issue new shares
of the Company. Bonds would be exchanged into shares at a rate of 1 ordinary
registered share of the Company with the nominal value of LTL 1 to every litas
of the claim (bond). 

2. Settlement into newly issued Company bonds:
The bondholders of the Company would be offered to exchange the claims (bonds)
held by them to newly issued bonds of the Company with their redemption date
set in April 2011, thereby allowing the Company to meet its liabilities. The
exchange rate would be at one litas of the claim (bond) to LTL 0.7 of a new
bond. 

3. Settlement in property:
The transfer of part of mortgaged property or another property to the
bondholders. They would be offered to receive shares of some companies within
the Land Development Fund Group controlled by the Company in proportion to
liabilities considering that the ownership value of 1 ha of agricultural 
land controlled by these companies is around LTL 5,570 (i.e. the market value 
of 1 ha at LTL 10,000 less liabilities apportioned to 1 ha). 

The proposals and valid and one of it will be included in the restructuring
plan only if the majority, i.e. at least 90%, of bondholders accept one of the
proposed alternative options. 

Implementation of the above proposals would be inefficient and the objectives
of the restructuring plan would not be achieved without the support of the
majority of bondholders. 

The Company kindly asks the bondholders and  financial brokerage company Orion
Securities UAB, which is protecting the interests of bondholders of the Company 
to express its opinion on the above proposals by 23 September 2010. by mail,
