Changes in AS Tallinna Vesi supervisory council members


AS Tallinna Vesi shareholders United Utilities and Tallinn City Government have decided to recall council members Andrew Prescott and Ardo Ojasalu and appoint Philip Aspin and Toivo Tootsen as new members of the Supervisory Council of AS Tallinna Vesi. Tallinn City Government decided on April 6th 2011 to recall Ardo Ojasalu from the Council of AS Tallinna Vesi and appoint Toivo Tootsen as the new Council member. Andrew Prescott will be recalled from the Council of AS Tallinna Vesi by United Utilities on April 28th, 2011 and Philip Aspin will be appointed to the Council of AS Tallinna Vesi by United Utilities from April 29, 2011.

Toivo Tootsen is a member of Tallinn City Council and was a member of parliament during the IX, X and XI assemblies. Toivo Tootsen has previously acted as the chairman and vice-chairman of the Estonian Association of Journalists and has worked at Estonian Radio and Estonian Television as a journalist. Toivo Tootsen is a member of the supervisory council of AS Tallinna Autobussikoondis, a member of the National Defence Council and a member of Keskerakond (Centre Party). He holds a degree in stage production from Tallinn Pedagogical University and a degree in Estonian language and literature from Tartu University. Toivo Tootsen does not own any shares of AS Tallinna Vesi.

Philip Aspin serves as the treasurer of United Utilities Group and has previously worked for North West Water. He has held several positions in the field of finance at United Utilities Group. As treasurer he is responsible for funding, financial risk management and treasury operations. Philip Aspin trained as a Chartered Accountant with KPMG prior to joining United Utilities and is a qualified member of the Association of Corporate Treasurers. He also holds a degree in mathematics from The University of Durham. Philip Aspin does not own any shares of AS Tallinna Vesi.

According to the Articles of Association of AS Tallinna Vesi, United Utilities (Tallinn) B.V. as a majority shareholder in AS Tallinna Vesi (35,3%) has the right to appoint 2 supervisory council members of AS Tallinna Vesi and the City of Tallinn as the other majority shareholder (34,7%) also has the right to appoint two supervisory council members. United Utilities (Tallinn) BV also has the right to present two supervisory council member candidates and the City of Tallinn has the right to present one supervisory council member candidate to be elected by the annual general meeting of AS Tallinna Vesi shareholders, which also elects the two independent supervisory council members.

As of April 29th, 2011 the members of AS Tallinna Vesi’s Supervisory Council will be Robert John Gallienne (United Utilities), Leslie Anthony Bell (United Utilities), Simon Gardiner (United Utilities), Philip Aspin(United Utilities), Rein Ratas (Tallinn City), Toivo Tootsen (Tallinn City), Deniss Boroditš (Tallinn City), Mart Mägi (independent) and Valdur Laid (independent).
