The Management Board (hereinafter: the Board) of the NASDAQ OMX Tallinn stock exchange (TLN) reviewed the application by AS Baltika, filed with the Board for listing 4,300,000 AS Baltika shares (to be offered during the public offering) and their subscription rights on the TLN Main List. The Board decided on July 18, 2011, as follows:
1. To satisfy the listing application of AS Baltika and
1.1. to list up to 4,300,000 new shares of AS Baltika conditionally in the Main List of TLN, after the following conditions are met:
- the Offering has been completed according to the principles described in the offering prospectus and the results of the offering are disclosed;
- the Offer Shares have been transferred to the securities accounts of new investors in Estonian CSD;
- Commercial Register has registered the increase in share capital*;
- after meeting the aforementioned conditions, the company has submitted the respective report to TLN.
* Until the increase of the share capital is registered with Commercial Register and the offer shares will be re-registered under the original ISIN-code in Estonian CSD, the new shares of AS Baltika will be listed on the TLN Main List under the separate trading code.
1.2. to list 31,494,850 subscription rights on the TLN Main List starting July 19, 2011 until July 28, 2011 (both incl.).
2. The first listing day of the shares mentioned in clause 1.1 is the first trading day after the conditions stipulated in clause 1.1 are met.
