On July 19, 2011 our company received the following notification of
UniCredit S.p.A., Rom, Italy regarding §27a WpHG:

We, UniCredit SpA, have informed you, Prime Office AG, Munich, Germany
according to § 22 paragraph 1 No. 2 WpHG, that we reached the reporting
threshold of 27,40% in voting rights of Prime Office AG in connection with
the recent IPO, which has been conducted and technically handled by our
subsidiary UniCredit Bank AG.

In addition to that notification we inform you according to § 27a WpHG,
that:
1. the intention of the purchase that led to the crossing of the reportable
threshold of 10% of voting rights in your company was not to realize
strategic targets and was not to generate trading profits, but the crossing
resulted only from the technical handling of the raise of capital and the
IPO of your company by our subsidiary UniCredit Bank AG,
2. we do not intend to acquire or get by other means additional voting
rights in Prime Office AG within the next 12 months, with the exception of
trading transactions within the usual business,
3. we do not intend to influence the staffing of your Board of Directors,
of your Supervisory Board or of any other position in administration,
management or supervisory  function of your company and
4. we do not intend any material change in the funding structure of Prime
Office AG, especially not concerning the ratio of equity and liabilities or
the dividend policy.

The acquisition of the voting rights has been funded by own funds of our
subsidiary UniCredit Bank AG.
