Swisher Hygiene Acquires West Coast Laundry & Warewashing


CHARLOTTE, N.C., Oct. 17, 2011 (GLOBE NEWSWIRE) -- Swisher Hygiene Inc. ("Swisher Hygiene") (Nasdaq:SWSH) (TSX:SWI), a leading provider of essential hygiene and sanitation products and services, today announced that it has acquired the assets and certain liabilities of West Coast Laundry & Warewashing Technologies, Inc. ("West Coast"), a California-based hygiene and chemicals company.

West Coast covers the entire state of California and through its distributor partners and employees provides a complete range of specialty chemicals and service programs to the foodservice and hospitality industries, including on-premise laundries and warewashing. The entire West Coast team is expected to join Swisher Hygiene.

Total consideration paid for by Swisher Hygiene in connection with this acquisition includes approximately $0.6 million in cash, the assumption of certain liabilities, and the issuance of a convertible promissory note which may be converted into a maximum of 175,000 shares of common stock subject to customary restrictions, including acceptance by the Toronto Stock Exchange.
