Changes in AS Tallinna Vesi Supervisory Council members
AS Tallinna Vesi’s shareholder United Utilities has decided to recall Council member Philip Aspin and appoint Brendan Francis Murphy as the new member of the Supervisory Council of AS Tallinna Vesi. Mr Philip Aspin was recalled from the Council of AS Tallinna Vesi by United Utilities on 26 October 2011 and Brendan Francis Murphy was appointed to the Council of AS Tallinna Vesi by United Utilities from 27 October 2011.
Brendan Francis Murphy is the Head of Treasury at United Utilities Group PLC, responsible for managing all aspects of the group’s treasury activities. As an experienced treasury professional he has strong technical skills across all aspects of treasury activities including: financing and capital structure strategies; extensive knowledge of debt capital markets; management of corporate financial risks and associated hedging; transaction execution management; and financial analysis skills. Mr Murphy qualified as an Associate of the Chartered Institute of Bankers in England and Wales with Barclays prior to joining United Utilities and is a qualified member of the Association of Corporate Treasurers. Mr Murphy does not own any shares of AS Tallinna Vesi.
According to the Articles of Association of AS Tallinna Vesi, United Utilities (Tallinn) B.V. as a majority shareholder in AS Tallinna Vesi (35,3%) has the right to appoint two Supervisory Council members of AS Tallinna Vesi and the City of Tallinn as the other majority shareholder (34,7%) also has the right to appoint two Supervisory Council members. United Utilities (Tallinn) BV also has the right to present two Supervisory Council member candidates and the City of Tallinn has the right to present one Supervisory Council member candidate to be elected by the annual general meeting of AS Tallinna Vesi shareholders, which also elects the two independent Supervisory Council members.
As of 27 October 2011 the members of AS Tallinna Vesi’s Supervisory Council will be Robert John Gallienne, Leslie Anthony Bell (United Utilities), Simon Gardiner (United Utilities), Brendan Francis Murphy (United Utilities), Rein Ratas (Tallinn City), Toivo Tootsen (Tallinn City), Mart Mägi (independent) and Valdur Laid (independent).
