DISCLOSURE UNDER CHAPTER 2, SECTION 10 OF THE SECURITIES MARKET ACT
GeoSentric Oyj has received a disclosure notice under chapter 2, section 9 of the Securities Market Act regarding a change in holdings.
Schroder Investment Management Limited (registered in the UK under the registration number 1893220, “Schroders”) holds as an asset manager for its clients GeoSentric Oyj’s (the “Company”) shares and convertible notes. As announced on November 10, 2011, The Company has received investment commitments in a third tranche of the directed share offering (“GSOY Offering”) and has resolved to issue total amount of 28,090,000 new shares at a subscription price of €0.0004 per share raising a total amount of €11,236. Schroder, as an asset manager to its clients, did not participate to the third tranche of GSOY Offering.
Schroder’s clients holdings have been previously disclosed on October 17, 2011 and October 27, 2011 by disclosure given under chapter 2, section 10 of the Securities Market Act. Save for the Ansa Group, no changes in the shareholdings of any individual Schroders client have been occurred as a result of the third tranche of GSOY Offering requiring a disclosure notice under chapter 2, section 9 of the Securities Market Act and none of such other clients holds more than 1/20 of the total number of votes and shares in the Company.
As the result of third tranche of GSOY Offering the threshold of Ansa Group is 468,377,779 shares and votes corresponding to 13.42 % of the fully diluted shares and votes (previously informed 13.53 %). Ansa Merchant Bank Ltd Nom 001, which is part of Ansa Group, holds after third tranche of GSOY Offering 11.04% of shares and votes (previously informed 11.13%).
As announced on November 10, 2011 the Company has repaid all 2008 Notes with accrued interest by transferring the agreed number of GHNV shares to Schoders. As a result, Schroders’ clients no longer have any 2008 Notes.
As of the date of this release the registered shares amount of GeoSentric Oyj is 924,656,354 and share capital EUR 8,955,761.65.
