PETROTREC generates approx. EUR 630,000 from its successful rights offering
- Reduction of liabilities by approx. EUR 7.5 million
Borken, December 2, 2011 - The shareholders of PETROTEC AG have exercised
subscription and oversubscription rights for all 8,181,247 new shares
offered in connection with the company's rights offering, the subscription
period for which ended as planned on December 1, 2011. Following the
exercise of 65% of the shareholders' subscription rights, 2,856,735 new
shares remained available for oversubscriptions and were subscribed for in
full by existing shareholders.
PETROTEC AG will receive gross proceeds from the issue of new shares
against contributions in cash in the course of the rights offering of
approximately EUR 630,000. The proceeds from the capital increase against
cash are to be used to finance growing working capital needs, the
development of the sourcing of feedstock as well as future capital
expenditures. The liabilities of the Petrotec-group companies were reduced
by approximately EUR 7.5 million as a result of the contributions of claims
by way of a contribution in kind from IC Green Energy Ltd.
Upon the registration of the capital increase in the commercial register,
which is expected to occur by December 8, 2011, the total number of
outstanding shares of the company will rise to 24,543,741. Delivery and
payment for the new shares is expected to take place on Monday, December
12, 2011, but at the earliest upon their admission to stock exchange
trading.
