Marion Helmes appointed Celesio's new Chief Financial Officer

Stuttgart, 20 December 2011. Today the Supervisory Board of Celesio AG
appointed Marion Helmes the new Chief Financial Officer of the company,
effective from 1 January 2012. In this role, she will be responsible for
Finance and Treasury, Controlling, Accounting, Tax, Human Resources and IT.
Most recently, Marion Helmes was member of the management board (CFO) at
Q-Cells AG, Bitterfeld-Wolfen. At Celesio, she is replacing Christian
Holzherr, who left the company as of 30 November 2011 on his own
initiative.

Jürgen Kluge, Chairman of the Supervisory Board of Celesio: 'The
Supervisory Board selected the CFO candidate with great care, in a highly
intensive process. We are very happy to announce that as a result Marion
Helmes will join Celesio as our new Chief Financial Officer. Helmes has
extensive international experience and expertise, mainly in the areas of
finance and controlling as well as corporate development. This makes her an
ideal addition to Celesio's Management Board, to master the challenges that
lie ahead.'

Marion Helmes, who holds a doctorate in business administration, was born
in Emmerich in 1965. She started her career at the German privatisation
agency Treuhandanstalt Berlin. After having held various positions with an
international consulting firm, she joined the controlling division of
Fried. Krupp AG Hoesch-Krupp, Essen, in 1997. After the merger with Thyssen
AG, she was appointed Vice President Corporate Development at Budd Company,
Detroit (U.S.) in 2000, which was then the largest foreign subsidiary of
the ThyssenKrupp Group.

In 2003 Marion Helmes assumed the management of the central Mergers &
Acquisitions division at ThyssenKrupp AG in Düsseldorf. In April 2005 she
was appointed CFO and member of the management board at ThyssenKrupp
Stainless AG, Duisburg, and assumed the same function at ThyssenKrupp
Elevator AG, Düsseldorf, in October 2006

In July 2010, Marion Helmes was appointed CFO of Q-Cells, where she was
responsible for Controlling/Accounting, Treasury/Corporate Finance,
Investor Relations, Tax, Internal Audit and IT.
