Acquisition of Cemat70 minority shares

Today, Topsil Semiconductor Materials A/S acquired additional 24.7% of the shares in the real-estate company Cemat70 through its 100% owned subsidiary Cemat Silicon SA., after which Topsil’s aggregated owner share amounts to 77.6% in total.

The shares were acquired from the Polish State Treasury and a Share Purchase Agreement is expected to be closed within two weeks. The Polish State Treasury is divesting the shares as part of a programme to privatise a number of state owned shareholdings. The purchase price for the additional Cemat70 shares is EUR 1.5m in cash and there are no special terms connected to the purchase.

Still, the objective of acquiring the minority shares in Cemat70 is divestment of the consolidated shareholding. Topsil’s former owner share of 52.9% had limitations in the decision phase. By enlarging the owner share proportion to exceed 75%, however, Topsil secures full control of Cemat70 to make necessary decisions and actions for the real-estate company. This is expected to increase interest from buyers that are not ready to acquire shares without control or development possibilities. The enlarged share proportion provides Topsil with unconditional room for manoeuvre and hence with a considerably improved platform for divesting the shares.
