Medicis Reports Fourth Quarter and Year-End 2011 Financial Results

Company Increases Quarterly Cash Dividend to $0.10 Per Share

Medicis (NYSE:MRX) today announced revenues of approximately $180.7 million for the three months ended December 31, 2011, compared to revenues of approximately $179.7 million for the three months ended December 31, 2010, which represents an increase of approximately $1.0 million, or approximately 0.6%. This increase is due primarily to increased demand for DYSPORT®, the RESTYLANE® franchise, VANOS® and ZIANA®, and includes the impact of increased sales reserves in the fourth quarter of 2011 associated with the Company's previously announced managed care strategy, and the discontinuation of TRIAZ® and PLEXION® earlier in the year.

Non-generally accepted accounting principles (non-GAAP, defined below) diluted cash earnings per share (EPS, defined below) for the three months ended December 31, 2011, was $0.56, compared to non-GAAP diluted cash EPS of $0.74 for the three months ended December 31, 2010, which represents a decrease of $0.18 per diluted share, or approximately 24.4% (see "Unaudited Reconciliation of Non-GAAP Adjustments" in the financial tables of this press release). GAAP diluted EPS for the three months ended December 31, 2011, was $0.87, compared to GAAP diluted EPS of $0.37 for the three months ended December 31, 2010, which represents an increase of $0.50 per diluted share, or approximately 137.9%.

Calendar Year 2011

For the twelve months ended December 31, 2011, Medicis recorded revenues of approximately $721.1 million, compared to revenues of approximately $695.9 million for the twelve months ended December 31, 2010, representing an increase of approximately $25.2 million, or approximately 3.6%. This increase is due primarily to increased demand for DYSPORT, the RESTYLANE franchise and VANOS, and includes the impact of increased sales reserves in the fourth quarter of 2011 associated with the Company's previously announced managed care strategy, the discontinuation of TRIAZ and PLEXION and the Company's decision to stop shipment of the Legacy Strengths1 of SOLODYN® to wholesalers.

Non-GAAP diluted cash EPS for the twelve months ended December 31, 2011, was $2.40, compared to non-GAAP diluted cash EPS of $2.80 for the twelve months ended December 31, 2010, which represents a decrease of $0.40 per diluted share, or approximately 14.2% (see "Unaudited Reconciliation of Non-GAAP Adjustments" in the financial tables of this press release). GAAP diluted EPS for the twelve months ended December 31, 2011, was $1.88, compared to GAAP diluted EPS of $1.89 for the twelve months ended December 31, 2010, which represents a decrease of $0.01 per diluted share, or approximately 0.7%.

Acne Products

Medicis recorded revenues of approximately $101.9 million from sales of its acne products for the three months ended December 31, 2011, compared to revenues of approximately $118.9 million for the three months ended December 31, 2010, which represents a decrease of approximately $17.0 million, or approximately 14.3%. For the twelve months ended December 31, 2011, the Company recorded revenues of approximately $447.6 million from sales of its acne products, compared to revenues of approximately $482.4 million for the twelve months ended December 31, 2010, which represents a decrease of approximately $34.8 million, or approximately 7.2%. These decreases are due primarily to increased sales reserves in the fourth quarter associated with the Company's previously announced managed care strategy, and the impact from the discontinuation of TRIAZ and PLEXION and the Company's decision to stop shipment of the Legacy Strengths of SOLODYN to wholesalers.

The Medicis Acne Products category includes primarily SOLODYN and ZIANA.

Non-Acne Products

Medicis recorded revenues of approximately $64.0 million associated with its non-acne products for the three months ended December 31, 2011, compared to revenues of approximately $50.2 million for the three months ended December 31, 2010, which represents an increase of approximately $13.8 million, or approximately 27.5%. For the twelve months ended December 31, 2011, the Company recorded revenues of approximately $229.6 million associated with its non-acne products, compared to revenues of approximately $175.0 million for the twelve months ended December 31, 2010, which represents an increase of approximately $54.6 million, or approximately 31.2%. These increases are due primarily to increased demand for DYSPORT, the RESTYLANE franchise and VANOS.

The Company recorded revenues of approximately $5.8 million associated with the Company's shipment of a number of its newly acquired non-acne products in the fourth quarter of 2011.

The Medicis Non-Acne Products category includes primarily DYSPORT, PERLANE®, RESTYLANE, VANOS and ZYCLARA®.

Other Non-Dermatological Products

Medicis recorded revenues of approximately $14.8 million associated with its other non-dermatological products for the three months ended December 31, 2011, compared to revenues of approximately $10.6 million for the three months ended December 31, 2010, which represents an increase of approximately $4.2 million, or approximately 39.9%. For the twelve months ended December 31, 2011, the Company recorded revenues of approximately $43.9 million associated with its other non-dermatological products, compared to revenues of approximately $38.6 million for the twelve months ended December 31, 2010, which represents an increase of approximately $5.3 million, or approximately 13.8%. These increases are due primarily to increased sales of BUPHENYL®.

The Company recorded revenues of approximately $2.6 million associated with the Company's shipment of a number of its newly acquired other non-dermatological products in the fourth quarter of 2011.

The Medicis Other Non-Dermatological Products category includes primarily AMMONUL®, BUPHENYL, the MAXAIR® AUTOHALER® and contract revenue.

Other Income Statement Items

Gross profit margin for the three months ended December 31, 2011, was approximately 90.5%, and approximately 90.7% for the twelve months ended December 31, 2011.

Selling, general and administrative (SG&A) expense for the three months ended December 31, 2011, was approximately $85.1 million, or approximately 47.1% of revenues, compared to approximately $77.6 million, or approximately 43.2% of revenues, for the three months ended December 31, 2010. SG&A expense for the three months ended December 31, 2011, includes a benefit of approximately $1.9 million from fluctuations in the Company's stock price and the resulting effect on the Company's Stock Appreciation Rights (SARs). The Company recorded no special SG&A charges for the three months ended December 31, 2010. For the twelve months ended December 31, 2011, the Company recorded SG&A expense of approximately $353.4 million, or approximately 49.0% of revenues, compared to approximately $305.0 million, or approximately 43.8% of revenues, for the twelve months ended December 31, 2010. SG&A expense for the twelve months ended December 31, 2011, includes approximately $4.0 million related to additional expenses from fluctuations in the Company's stock price and the resulting effect on the Company's SARs and $2.5 million of professional fees related to legal settlements. SG&A expense for the twelve months ended December 31, 2010, included approximately $0.9 million of professional fees related to a strategic collaboration agreement with a Medicis partner.

Research and development (R&D) expense for the three months ended December 31, 2011, was approximately $10.2 million, compared to approximately $21.6 million for the three months ended December 31, 2010. R&D expense for the three months ended December 31, 2011, includes a benefit of approximately $0.2 million from fluctuations in the Company's stock price and the resulting effect on the Company's SARs. R&D expense for the three months ended December 31, 2010, included purchased R&D charges totaling $13.9 million associated with upfront and milestone payments to Medicis partners. For the twelve months ended December 31, 2011, the Company recorded R&D expense of approximately $68.4 million, compared to approximately $44.3 million for the twelve months ended December 31, 2010. R&D expense for the twelve months ended December 31, 2011, includes purchased R&D charges totaling $35.5 million associated with upfront and milestone payments to Medicis partners and approximately $0.4 million related to additional expenses from fluctuations in the Company's stock price and the resulting effect on the Company's SARs. R&D expense for the twelve months ended December 31, 2010, included purchased R&D charges totaling $18.9 million associated with milestone payments to Medicis partners.

Expenses associated with the Company's Graceway transaction in the fourth quarter of 2011 were approximately $4.6 million. The Company also recorded additional income tax expense in the quarter of approximately $5.0 million as a result of the Graceway transaction. The result of all the financial entries relating to the Graceway transaction is a net loss in the fourth quarter of 2011.

Cash Flow

The Company's cash flow from continuing operations was approximately $30.9 million for the three months ended December 31, 2011. Non-GAAP cash flow from continuing operations for the twelve months ended December 31, 2011, was approximately $217.9 million, which excludes $38.0 million associated with upfront and milestone payments to Medicis partners and professional fees related to legal settlements.

Dividend

The Company's Board of Directors declared a quarter-end cash dividend of $0.10 per issued and outstanding share of Medicis Common Stock, payable on April 30, 2012, to stockholders of record at the close of business on April 2, 2012. This represents an increase of 25% compared to the Company's previous $0.08 quarterly dividend. The Company's last quarterly dividend increase was in March 2011.

Additional 2012 Guidance Considerations

Revenue and non-GAAP diluted cash EPS objectives include certain assumptions associated with:

  • successful launch and integration of newly acquired products;

  • levels of managed care rebates for SOLODYN and the Company's other therapeutic brands;
     
  • competition to our primary brands;
      
  • gross profit margins of approximately 89-91% of revenues;
     
  • SG&A expenses of approximately 47-49% of revenues;
     
  • R&D expenses of approximately 6-8% of revenues;
     
  • depreciation of approximately $9-$11 million for the year;
     
  • effective tax rate of approximately 39-40%; and
     
  • fully diluted weighted average shares outstanding of approximately 64-65 million shares.

The above guidance does not take into account the following:

  • amortization of approximately $63-$65 million primarily related to acquired intangibles;
     
  • additional material changes in anticipated levels of total coverage and access, managed care rebates, and the associated impact on sales, reserves, profitability and the average selling price (ASP), for SOLODYN and the Company's other therapeutic brands. The Company is actively engaged in a strategy, which management believes will significantly reduce the Company's exposure to managed care restrictions for SOLODYN and the Company's other therapeutic products. This strategy includes, among other things, negotiating new, multi-year contracts with targeted managed care organizations and pharmacy benefit managers to profitably achieve total coverage and access for SOLODYN of at least 75% of the insurable lives in the United States. If we are successful in our continuing negotiations, we would anticipate having to accrue additional sales reserves in the relevant quarter.

Diluted Earnings Per Share

Diluted earnings per share amounts are calculated using the "if-converted" method of accounting regardless of whether the Company's outstanding convertible bonds meet the criteria for conversion and regardless of whether the bondholders actually convert their bonds into shares.

Non-GAAP Diluted Cash Earnings Per Share

Historically, the Company's non-GAAP diluted EPS amounts have been calculated excluding certain items, such as R&D charges which result from payments made to Medicis partners, transaction costs, fluctuations in the Company's stock price and the resulting effect on the Company's SARs (beginning in 2011), the impairment of long-lived assets, gains resulting from the sale of subsidiaries, charges related to the accounting for our investment in Revance or Hyperion and litigation reserves.

Non-GAAP diluted cash EPS excludes amortization, in addition to all of the items identified in the paragraph above.
