Deliberation on the conclusion of a control and profit and loss transfer
agreement between Deutsche Postbank AG as the controlled entity and DB
Finanz-Holding GmbH as the controlling entity

The Board of Management and the Supervisory Board of Deutsche Postbank AG
today met to deliberate on the conclusion of a control and profit and loss
transfer agreement between Deutsche Postbank AG as the controlled entity
and DB Finanz-Holding GmbH, Frankfurt am Main (a wholly-owned subsidiary of
Deutsche Bank AG), as the controlling entity.

Deliberations included the issue of a cash settlement pursuant to section
305 of the Aktiengesetz (AktG - German Stock Corporation Act) of EUR 25.18
per no-par value share of Postbank and a compensatory payment pursuant to
section 304 of the AktG in the gross amount of EUR 1.89 (net amount of EUR
1.66 after corporate income tax and solidarity surcharge) per no-par value
share of Postbank for each full fiscal year. Rölfs RP AG
Wirtschaftsprüfungsgesellschaft, Düsseldorf, the court-appointed auditor
for the agreement, confirmed the appropriateness of the respective amounts
of the cash settlement and compensatory payment.

Postbank's Board of Management and Supervisory Board will adopt a
resolution on the intercompany agreement on March 30, 2012. DB
Finanz-Holding GmbH's consent to the control and profit and loss transfer
agreement is also still outstanding.
