Resolution on the conclusion of a control and profit and loss transfer
agreement between Deutsche Postbank AG as the controlled entity and DB
Finanz-Holding GmbH as the controlling entity

The Board of Management and the Supervisory Board of Deutsche Postbank AG
today adopted a resolution on the conclusion of a control and profit and
loss transfer agreement between Deutsche Postbank AG as the controlled
entity and DB Finanz-Holding GmbH, Frankfurt am Main (a wholly-owned
subsidiary of Deutsche Bank AG), as the controlling entity.

The control and profit and loss transfer agreement comprises inter alia a
cash settlement pursuant to section 305 of the Aktiengesetz (AktG - German
Stock Corporation Act) of EUR 25.18 per no-par value share of Postbank and
a compensatory payment pursuant to section 304 of the AktG in the gross
amount of EUR 1.89 (net amount of EUR 1.66 after corporate income tax and
solidarity surcharge) per no-par value share of Postbank for each full
fiscal year.

The general assembly of Deutsche Postbank AG will decide upon the
intercompany agreement on June 5, 2012. The shareholders' meeting of DB
Finanz-Holding GmbH shall decide on the intercompany agreement shortly
before the general assembly of Deutsche Postbank AG.
