S.A.G. Solarstrom AG decides on buyback of shares
Buyback program up to May 23, 2012 of up to 826,000 shares
Freiburg, April 3, 2012. S.A.G. Solarstrom AG (German security
identification number: 702 100, ISIN: DE0007021008), Freiburg, decided
today to buy back a maximum of 826,000 of its own shares from April 4, 2012
to the end of May 23, 2012. The Close Brothers Seydler Bank, Frankfurt am
Main, has been instructed to purchase the shares as an impartial party.
Under the program, may not exceed 25% of the average trading volume on all
German stock exchanges on the 20 trading days prior to each day of
repurchase. The purchase price may not fall short of or exceed the
arithmetic mean of the opening prices of the share in XETRA trading on the
five stock market days before the purchase by more than 10%.
The shares thus acquired should be available for all intended uses
permitted based on the authorization of the Annual General Meeting of May
30, 2011, namely for sale against payment in kind, and in particular in
conjunction with company mergers and the acquisition of companies, parts of
companies and holdings in companies. Furthermore, for sale by means other
than via the stock exchange or via a buying option maintaining the
subscription rights of the shareholders, if the own shares that are
purchased are sold at a price that does not substantially fall below the
stock exchange price of shares of the company of the same class at the time
of sale (§ 186 Paragraph 3 S. 4 of the German Stock Corporation Act
(AktG)). In addition, the company can use the shares thus acquired to
service conversion or option rights or as part of a stock option plan.
The transactions performed as part of the buyback activities will be
announced on Monday of each week on S.A.G. Solarstrom AG's website
www.solarstromag.com.
