Cobham plc, which holds 25.6% of the shares and the voting rights in Thrane & Thrane A/S through its subsidiary Lockman Electronic Holdings Ltd., has announced that it has received acceptances for more than 90% of the share capital of Thrane & Thrane A/S in connection with the voluntary recommended tender offer of April 19, 2012.
Against this background and as requested by Cobham plc, the Board of Directors of Thrane & Thrane A/S will call an extraordinary general meeting, the agenda of which will be to elect members to the Board of Directors and a proposed resolution to delist Thrane & Thrane A/S from NASDAQ OMX Copenhagen A/S.
The extraordinary general meeting is expected to be held on Friday, June 29, 2012. At the same time, the annual general meeting, scheduled for Thursday, June 28, 2012, will be postponed until Tuesday, August 28.
