NTT DATA EUROPE announces voluntary public offer for itelligence AG
Bielefeld, October 29, 2012 - NTT DATA EUROPE GmbH & Co. KG, Düsseldorf,
announced today its decision, to make a voluntary public offer to acquire
all outstanding shares of itelligence AG. The consideration to be offered
to the shareholders of itelligence AG for their shares will be EUR 10.80 in
cash per share. According to NTT DATA EUROPE GmbH & Co. KG, the offer is
expected to be subject to the condition that the bidder holds at least 95%
of the share capital and voting rights of itelligence AG after completion
of the offer. NTT DATA EUROPE GmbH & Co. KG is a subsidiary of NTT DATA
Corporation, Tokyo, Japan.
NTT DATA EUROPE GmbH & Co. KG has disclosed that it already holds approx.
81.28% of the share capital and voting rights of itelligence AG. The CEO of
itelligence AG, Mr. Herbert Vogel, in his capacity as shareholder, has
entered into an irrevocable undertaking with NTT DATA EUROPE GmbH & Co. KG,
which provides that Mr. Herbert Vogel is obliged to accept the offer with
regard to shares in itelligence AG held by him (approx. 2.035% of the share
capital and the voting rights).
Furthermore, the offer will be subject to the terms and conditions to be
disclosed by NTT DATA EUROPE GmbH & Co. KG in the offer document. After
publication of the offer document, the itelligence Management Board and the
Supervisory Board will submit a well-founded opinion on the offer and the
appropriateness of the offer price in compliance with statutory
regulations.
