itelligence AG: NTT DATA EUROPE GmbH & Co. KG initiates squeeze-out
procedure

Bielefeld, December 28, 2012

Today, NTT DATA EUROPE GmbH & Co. KG with its seat in Duesseldorf, directed
the formal request pursuant to § 327a AktG to the Management Board of
itelligence AG that the shareholders' meeting of the company should resolve
upon the transfer of the shares of the remaining shareholders (minority
shareholders) to NTT DATA EUROPE GmbH & Co. KG as major shareholder against
payment of an adequate cash compensation (squeeze-out).

After the consummation of the voluntary public offer, NTT DATA EUROPE GmbH
& Co. KG directly holds more than 95% of the registered share capital of
itelligence AG. NTT DATA EUROPE GmbH & Co. KG is therewith major
shareholder within the meaning of § 327a para 1 sentence 1 AktG. It is
expected that the next ordinary shareholder meeting of itelligence AG,
which is currently scheduled to be held on May 23, 2013, will resolve on
the squeeze-out.
