TOMORROW FOCUS AG announces successful placing of shares
Munich, Germany, 6 February 2013 - TOMORROW FOCUS AG (ISIN DE0005495329)
has drawn on its authorised capital in order to increase the company's
total share capital from EUR 53,012,390 to EUR 58,055,588. On this
occasion, existing shareholders were not allowed to subscribe to the issue.
The 5,043,198 new notional no-par-value bearer shares were all placed with
institutional investors as part of an accelerated bookbuilding deal.
It is anticipated that the new shares will be admitted for trading on the
Regulated Market of the Frankfurt Stock Exchange (FWB) and to the Prime
Standard segment of the Regulated Market, which imposes additional
reporting obligations, presumably on 7 January 2013. A prospectus will not
be issued. The new shares carry dividend rights from 1 January 2012.
The new shares were placed at EUR 3.80 each. The capital increase will
generate gross income of approximately EUR 19.2 million. These new funds
will be used to finance further acquisitions and to increase the stake in
companies in which a majority shareholding is held.
Berenberg Bank acted as the sole lead manager and sole bookrunner for the
transaction.
