Under the terms of the transaction, PVFC shareholders will receive 0.3405 shares of F.N.B. common stock for each share of PVFC they own, representing a value of approximately $3.98 per share, or $106.4 million in the aggregate. The claims concern whether the PVFC Board of Directors breached their fiduciary duties to stockholders by failing to adequately shop the Company before entering into this transaction and whether F.N.B. is underpaying for PVFC shares, thus unlawfully harming PVFC stockholders.
