In accordance with Section 29 of the Danish Securities Trading Act, cf. the Danish Executive Order no. 668 of 25 June 2012 on major shareholders, the following is hereby announced:
NTC Parent S.à.r.l. and NTC Holding G.P. & Cie S.C.A. have informed TDC as follows:
As of 2 April 2013, NTC Parent S.à r.l. and NTC Holding G.P. & Cie S.C.A. have unconditionally agreed to dispose all of their shares and voting rights in TDC A/S.
Following the disposal, NTC Parent S.à r.l. and NTC Holding G.P. & Cie S.C.A. will not directly or indirectly own any shares or voting rights in TDC A/S.
Further, KKR NTC S.à.r.l. has informed TDC as follows:
As of 2 April 2013 KKR NTC S.à.r.l. owns 89,853,082 shares of a nominal value of DKK 1 (aggregate nominal value DKK 89,853,082) in TDC, corresponding to 10.89 % of the total share capital and 10.89 % of the total voting rights.
