TOM TAILOR Holding AG issues first borrower's note loan of EUR 80
million

Hamburg, 5 June 2013. TOM TAILOR Holding AG has issued its first
borrower's note loan in order to refinance a part of the liabilities
arising from the BONITA acquisition earlier than planned. The borrower's
note loan comprises a total volume of EUR 80 million and was primarily
placed with institutional investors in Germany and Europe.
'Considering the currently favorable interest rate environment, we have
decided for an early refinancing of a part of our short-term credit line
from the BONITA acquisition and to issue a borrower's note loan. We are
very pleased with the success of this primary issuance, which was heavily
oversubscribed. Thereby our financing has gained a stronger long-term focus
and we are well positioned to continue our course for accelerated growth,'
said Dr Axel Rebien, Chief Financial Officer of TOM TAILOR Holding AG.
The borrower's note loan consists of three tranches with maturities of 2.6,
3.6 and 5 years and is endowed with both fixed and variable interest rates.
The outstanding interest rates to be paid reflect the currently favorable
interest rate level and lie within the scope of the previous rates paid.
The Landesbank Baden-Württemberg and the UniCredit Bank AG managed the
emission as joint book runners. HSH Nordbank was the co-arranger.

Group has approximately 1,300 own stores in the retail segment. 982 of
these are BONITA and BONITA men stores, and 315 are TOM TAILOR stores. The
TOM TAILOR brand is also sold via retail partners. At the end of March
2013, these comprised 177 franchise stores, 2,065 shop-in-shops and around
6,300 multi-label points of sale.
