On May 23, 2013, CECO filed a Form S-4 Registration Statement with the United States Securities and Exchange Commission containing the joint proxy statement of Met-Pro and CEO in connection with the Proposed Transaction, as amended on July 3, 2013 ("Registration Statement"). The Registration Statement provided materially false and misleading information rendering the shareholders unable to make an informed decision as to how to vote at the special shareholder meeting. On July 22, 2013, CECO filed a second amendment of the Form S-4 Registration Statement.
