Deutschland Fernsehen GmbH & Co. KG agree sale of PLAZAMEDIA as well as a
minority stake in SPORT1 and Constantin Sport Marketing

Ismaning, December 5, 2013 - After the approval by the Management Board and
Supervisory Board of Constantin Medien AG, Constantin Sport Holding GmbH
today agreed with Sky Deutschland Fernsehen GmbH & Co. KG to sell 100
percent of its subsidiary PLAZAMEDIA GmbH TV- und Film-Produktion,
including its subsidiaries PLAZAMEDIA Austria Ges.m.b.H and PLAZAMEDIA
Swiss AG to Sky Deutschland Fernsehen GmbH & Co. KG. In addition,
Constantin Sport Holding GmbH and Sky Deutschland Fernsehen GmbH & Co. KG
also agreed the sale of 25.1 percent each in Sport1 GmbH and in Constantin
Sport Marketing GmbH. The corresponding agreement was signed today.

The transaction, which is expected to be closed in the first half of 2014,
is subject to antitrust and media regulatory approvals as well as the
conclusion of a new multi-year production framework contract between Sport1
GmbH and PLAZAMEDIA GmbH TV- und Film-Produktion.

The total sales price for the 100 percent share in PLAZAMEDIA GmbH TV- und
Film-Produktion as well as for the 25.1 percent stake in each Sport1 GmbH
and Constantin Sport Marketing GmbH will amount to around EUR 57.5 million
(cash and debt free).

The transaction underlines the consistent focus of the Sports Segment on
opening up new business areas and the further development of content and
platforms within the scope of the digital multimedia strategy of Sport1
GmbH.
