EVN AG: Release according to Article 93, Section 2 BörseG with the
objective of Europe-wide distribution (supplementary report)
EVN AG (ISIN: AT0000741053; EVN) was informed on 20 December 2013 that EnBW
Trust e.V., a registered association with its corporate seat in Karlsruhe,
Durlacher Allee 93, 76131 Karlsruhe, registered in the register of
associations of the local court of Mannheim under VR 3737(EnBW Trust), has
concluded a trust arrangement in the course of a so called CTA-Model
(Contractual Trust Agreement) with EnBW Energie Baden-Württemberg AG, with
its corporate seat in Karlsruhe, Germany, and its business address at
Durlacher Allee 93, 76131 Karlsruhe, registered in the commercial register
of the local court of Mannheim under HRB 107956 (EnBW), pursuant to which
EnBW entered into a Share-Transfer-Agreement with EnBW Trust and
transferred, on a fiduciary basis, 58,406,180 non-par value bearer shares
in EVN, which equals 58,406,180 voting rights in EVN (i.e. 32.47%), to EnBW
Trust. EnBW Trust thereby exceeded the thresholds of 5%, 10%, 15%, 20%, 25%
and 30%, but not 35% of the voting rights in EVN.
On a supplementary basis EVN AG was informed on 10 January 2014 about the
following: EnBW has been jointly controlled by the following companies
since 17 February 2011, respectively by NECKARPRI-Beteiligungsgesellschaft
mbH since 5 April 2011 - and therefore also indirectly by EnBW Trust:
- NECKARPRI-Beteiligungsgesellschaft mbH with its corporate seat in
Stuttgart and its business address at Schlossplatz 4, D-70173
Stuttgart, Germany, registered in the commercial register of the
municipal court in Stuttgart under HRB 737171, NECKARPRI GmbH with its
corporate seat in Stuttgart and its business address at Schlossplatz 4,
D-70173 Stuttgart, Germany, registered in the commercial register of
the municipal court in Stuttgart under HRB 735416, and the Finance and
Economics Ministry of the Province of Baden-Württemberg, Schlossplatz
4, D-70173 Stuttgart, Germany, on the one hand, as well as
- OEW Energie-Beteiligungs GmbH with its corporate seat in Ravensburg and
its business address at Friedenstrasse 6, 88212 Ravensburg, Germany,
registered in the commercial register of the municipal court in Ulm
under HRB 4678, and the special-purpose association Oberschwäbische
Elektrizitätswerke with its corporate seat in Ravensburg and its
business address at Friedenstrasse 6, 88212 Ravensburg, Germany, on the
other hand.
Based on a shareholders' agreement dated 26 July 2000, which was entered
into by NECKARPRI GmbH and the Province of Baden-Württemberg on 17 February
2011 and by NECKARPRI-Beteiligungsgesellschaft mbH on 5 April 2011, these
companies have agreed to jointly exercise their direct and indirect voting
rights in EnBW and therefore their indirect voting rights in EVN (also see
the notifications on shareholdings dated 21 February 2011 and 8 April
2011).
The sole shareholder of NECKARPRI-Beteiligungsgesellschaft mbH is NECKARPRI
GmbH. The sole shareholder of NECKARPRI GmbH, in turn, is the Province of
Baden-Württemberg.
The sole shareholder of OEW Energie-Beteiligungs GmbH is the
special-purpose association Oberschwäbische Elektrizitätswerke. The
special-purpose Oberschwäbische Elektrizitätswerke is an association of the
following administrative districts ('Landkreise') in the German province of
Baden-Württemberg: Landkreis Ravensburg (21.821%), Alb-Donau-Kreis
(20.989%), Bodenseekreis (15.812%), Biberach (11.126%), Zollernalbkreis
(8.712%), Landkreis Rottweil (6.479%), Landkreis Sigmaringen (6.229%),
Landkreis Freudenstadt (5.007%) and Landkreis Reutlingen (3.825%).
